Drafting and negotiating contracts is a delicate business, especially when attempting to shift known and unknown risks by mutual agreement.  Unfortunately, many transactional lawyers drafting contracts have little or no practical experience in the litigation of the crucial contract provisions.  Our litigation experience gives us a unique perspective when it comes to negotiating and drafting written agreements.  We understand that what can go wrong sometimes does, and your contract needs to be drafted to provide you with the best opportunity to succeed in court or arbitration.

Although not the primary focus of our practice, we do offer basic setup of corporate structures, including corporations, general partnerships, limited partnerships, limited liability partnerships and limited liability companies, and will provide the necessary by-laws or regulations.  If your transaction needs become more complex, such as stock transfers, asset purchase agreements, mergers, acquisitions, push-pull agreements or the offering of private securities, we have strategic associations with attorneys who specialize in those matters, and will be happy to direct you to them for further assistance.
